JOB SUMMARY:

 

Working under direct supervision, provide counsel and guidance to senior management on various Company legal and business issues and proactively act to ensure that the organization’s interests are protected and promoted in all aspects of its business. Partner with business operations and identify, analyze and resolve complex legal issues and recommend appropriate policy and procedural changes to mitigate legal and operational risk to the organization.

 

ESSENTIAL JOB FUNCTIONS AND RESPONSIBILITIES:

 

  • Review and maintenance of corporate, governance, regulatory compliance policies & processes, including public company regulatory requirements

  • Participate in the education of the organization on compliance obligations

  • Assist in the education of the business on internal control design & appropriateness

  • Support customer calls on information security and compliance

  • Complete, file and report compliance with regulatory and legal reporting obligations, including, but not limited to export, privacy, and corporate business filings.

  • Maintain Company compliance with regulatory obligations pursuant to international and domestic laws.

  • Respond to external questionnaires regarding regulatory requirements or compliance with legal obligations

  • Assist in the drafting of substantive content for Company Policies

  • Assist in the maintenance of Corporate ethics program

  • Assist in the maintenance of company Privacy Program

  • Assist Corporate entity governance

  • Maintain Corporate Board Records

  • Assist in corporate governance and board matters including preparation of board materials, minutes and updates to corporate charters and policies.

  • Assist in the administration of the equity program and Vertex Equity Gateway

  • Assist in the management of the legal aspect of SEC reporting

  • Advise on securities laws and general corporate legal matters.

  • Work with outside securities counsel

  • May review and provide input on press releases and other public disclosures.

  • May oversee programs such as corporate insurance program

  • Participate in other projects or duties.

  • Occasional travel required.




KNOWLEDGE, SKILLS AND ABILITIES:

 

  • Basic knowledge in general corporate, contract, corporate governance, intellectual property, and securities laws.
  • Excellent oral and written communication skills, experience in drafting documents
  • Demonstrated quality of judgment in the practical application of legal expertise in giving strategic and other advice
  • Ability to manage time and priorities effectively by completing tasks in a timely manner.
  • Ability to manage job-related and personal stress effectively
  • Ability to maintain expected attendance at work.
  • Proficiency in Microsoft Office packages
  • Sufficient knowledge of business communications, including telephone, voicemail, and e-mail, and operations of office machines, such as photocopier, scanner, and fax.
  • Willingness to work overtime, holidays, and weekends based on business need.
  • Ability to listen and understand information and communicate the same.
  • Interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
  • Basic negotiating skills with both legal and financial/commercial issues
  • Ability to establish and maintain strong relationships within the organization’s legal department and across all businesses
  • Ability to work independently with little or no supervision.
  • Must possess good organizational skills.
  • Must be results oriented, customer focused, and exhibit good interpersonal skills.

 

EDUCATION, TRAINING:

 

  • JD Degree
  • Admitted to a recognized bar
  • In-house with major law firm experience
